Patty Chan is the partner of Vivien Chan & Co., a Greater China law firm with offices in Hong Kong and Beijing.

With more than 30 years of practices in law, Patty is experienced in Mergers and Acquisitions, Foreign Direct Investment, Employment, Real Estate and related tax issues. She constantly assists multinational companies with acquisitions, negotiations and due diligence, while advises on regulatory matters to ensure compliance with Hong Kong and PRC laws. She also frequently advises on cross-border employment and compensation matters and assisted in structuring employment documentation and workplace policies for clients with a view to minimise exposure to employees’ claims. For real estate, she represents companies for the full spectrum of the transaction including the purchases and sales, leasing out, credit and finance agreements and SFC regulations.

She is the winner of the International Advisory Experts Award in M&A in China 2020 and 2021.

REPRESENTATIVE EXPERIENCE
  • Counsel to a MNC in acquiring the shareholdings of a Hong Kong group company with Mainland subsidiary operating distribution business. We advised on the structure of the acquisition and cross-border legal and regulatory compliance of the distributed food product and online distribution channels
  • Counsel to leading financial services companies on the rolling out of employee equity and cash-based incentive plans and advising on the related regulatory and tax considerations, and enforceability of clawback and malus provisions, competitive activity restrictions
  • Represent a local conglomerate in its acquisition of real estate holding companies of a commercial building and steering through the complex shareholding structure. We also advised on potential offshore tax liabilities arising from a previous disposition of offshore properties by the target companies
  • Counsel to global air-freight forwarding service group on amalgamation and equity transfers of group entities for corporate structure reorganization
  • Counsel to MNC in enforcement of non-compete and confidentiality provisions against former senior employee joining a competitor in labour arbitration proceedings in Mainland
  • Represent a Hong Kong employer on immediate actions restraining a departing employee’s distribution of company’s trade secrets and confidential information
  • Counsel to MNC in conducting HR due diligence pursuant to an overseas merger of US companies which includes a Hong Kong subsidiary
